1. Introduction

Welcome to Bridgegate Invest (“Bridgegate,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of the Bridgegate Invest website, products, services, and platform (collectively, the “Services”). By using or accessing our Services, you agree to be bound by these Terms.

2. Acceptance of Terms

By using, registering, accessing, or using our Services, you acknowledge that you have read, understood, and agree to these Terms, including any associated legal documents such as our Privacy Policy and Cookie Policy.

3. Services Offered

Bridgegate Invest provides real estate investment opportunities and tools for managing property investments. Through our platform, users may reserve, analyse and monitor property investments and access exclusive features, tools, and educational content related to real estate investment.

4. User Registration and Profile

To access certain features, you must register and create an investor profile. You are responsible for providing accurate, current, and complete information, maintaining and updating your account information promptly, keeping your login credentials confidential and secure, and notifying us immediately of unauthorised account use or breaches.

5. Investment Risks and Disclaimer

All investments made through the Bridgegate platform are subject to market risks, including the potential loss of capital.
Bridgegate Invest makes no guarantees, express or implied, regarding returns, profits, or specific outcomes. Investments may be affected by factors beyond our control, including but not limited to market fluctuations, economic instability, interest rate changes, and legal or regulatory developments.

By using the platform, you acknowledge and accept full responsibility for your investment decisions. You are required to independently evaluate all provided materials, projections, and opportunities to determine their suitability for your individual circumstances.

Bridgegate does not provide financial, legal, or tax advice, and the information presented on the platform should not be construed as such. We strongly recommend consulting independent professional advisors to fully understand the financial and tax implications of any investment.

6. Reservation Fee

To reserve a property through our platform, a reservation fee is required. The reservation fee is paid directly to the developer and applied toward the purchase price. The reservation fee is refundable if the sale is cancelled or financing is rejected for reasons beyond the user’s control. Specific refund conditions are outlined in the developer’s purchase documentation.

7. Engagement Process

After the reservation fee payment, a dedicated engagement lead will assist with discussing contractual documentation, reviewing legal requirements, and guiding you through the purchase process to completion.

8. Subscription Services

Bridgegate Invest offers subscription-based access to premium tools and features. Subscriptions are billed monthly or annually, inclusive of applicable taxes. Cancellation is allowed at any time; however, refunds are not issued for unused periods. If your subscription is terminated by Bridgegate due to a violation of these Terms, you will not be eligible for a refund of any unused portion of your subscription.

9. Payment Terms

All payments must be made through our secure payment gateway. Transactions are processed in local currency where available. Notify us within 14 days of any payment disputes. Failure to make timely payments may result in account suspension or termination.

10. Use of the Platform

By accessing or using our platform, you agree to comply with all applicable laws and regulations.
You further agree not to:

  • Engage in any illegal, fraudulent, or unauthorised activities.
  • Upload, post, or transmit any harmful, malicious, or disruptive content, including but not limited to viruses, malware, or other harmful code.
  • Misrepresent information, impersonate others, or manipulate the platform in any way.
  • Attempt to gain unauthorised access to any part of the platform, user accounts, or systems.
  • Use the platform for purposes that violate these Terms or the rights of others.
 

Bridgegate reserves the right to suspend or terminate your access to the platform without notice if you violate these Terms or engage in any activity that compromises the security, functionality, or integrity of the platform or its users.

11. Mortgage Origination

11.1 About Our Service

We provide expert mortgage origination services to assist property buyers and investors in securing financing for their real estate purchases. Our role is to facilitate the application process, compare financing options from multiple lenders, and support applicants in obtaining the best possible mortgage approval.

We operate in partnership with MortgageMax, a division of the BetterHome Group, which is a registered mortgage origination firm. Through this partnership, we ensure access to a wide range of lending institutions and competitive financing solutions.

11.2 What We Do & How It Works

  • We assist clients with the mortgage application process, ensuring that all necessary documents are submitted and applications are processed efficiently.
  • Our platform is fully online, offering a streamlined process with initial feedback within 48 hours or less.
  • We work with MortgageMax, who submits applications to multiple banks and negotiates the best possible terms for our clients.
  • Our service is free of charge to applicants, as we earn a commission from the banks upon successful approval and disbursement of a mortgage.

11.3 Not a Financial Services Provider (FSP)

  • We do not provide loans, credit facilities, or financial advice.
  • We are not a registered Financial Services Provider (FSP) and do not directly engage in credit granting or underwriting.
  • All applications are processed through MortgageMax, which is an accredited and registered mortgage origination service provider.

11.4 Important Considerations

  • Approval of a mortgage is subject to the lender’s credit assessment criteria and affordability checks.
  • Interest rates, repayment terms, and conditions are determined by the individual bank or lender, not by us.
  • Submitting an application through our platform does not guarantee approval or specific loan terms.

11.5 Acceptance of Terms

By using our mortgage origination service, you acknowledge and accept these Terms & Conditions. You also understand that our role is facilitative, and all lending decisions remain at the sole discretion of the banks and lenders.

12. Property and Rental Management

Bridgegate offers property and rental management services through third-party providers. While we facilitate these services, we are not liable for disputes or damages, including but not limited to tenant disputes, missed rent payments, evictions, or property damage caused by tenants or external factors.

13. Third-Party Services

Bridgegate may integrate with or link to third-party services, such as financing or property management tools. Use of these services is at your own risk and subject to their respective terms.

14. Privacy and Data Use

Your privacy is important to us. By using the platform, you consent to our collection, use, and sharing of personal data as outlined in our Privacy Policy. While we implement security measures, we cannot guarantee complete protection against unauthorised access. Bridgegate is committed to complying with applicable data protection laws, including the Protection of Personal Information Act (POPIA) and the General Data Protection Regulation (GDPR), where relevant. 15. Intellectual Property

All content, features, and functionality available on or through the Bridgegate Invest platform—including but not limited to text, graphics, logos, icons, images, software, and design elements—are the exclusive property of Bridgegate Invest or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for personal, non-commercial purposes only. Unauthorised use, reproduction, modification, distribution, display, or creation of derivative works based on any content from the platform is strictly prohibited without prior written permission from Bridgegate Invest.

Any unauthorised use of the platform or its content may result in legal action and termination of access to the Services. All rights not expressly granted to you under these Terms are reserved by Bridgegate Invest.

16. Simulator Tools and Projections

Bridgegate provides tools for informational and illustrative purposes only. All figures and projections are estimates based on available data at the time of presentation and are subject to change. Projections do not guarantee actual investment outcomes, and past performance is not indicative of future results. Investment decisions should not be based solely on simulator results or tools provided by the platform.

Actual returns may vary depending on individual investment contributions, market conditions, interest rates, and customary property-related costs, such as maintenance and insurance. Returns are calculated on a pretax basis, and Bridgegate does not provide tax advice. Investors are encouraged to consult a qualified tax advisor to understand the tax implications of their investments.

17. Representation and Warranties

Bridgegate provides the Services on an “as-is” and “as-available” basis.
We make no representations or warranties of any kind, express or implied, regarding the operation of the platform, the accuracy or completeness of content, or the availability, reliability, or suitability of the Services for any particular purpose.

To the fullest extent permitted by law:

  • We do not guarantee that the platform will meet your expectations, operate uninterrupted, or be error-free.
  • All use of the platform is at your own discretion and risk.
 

Bridgegate disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. Any reliance on information, tools, or Services provided by the platform is solely at your own risk. As stated in Section 17, Bridgegate’s liability for any claims, including those arising from the limitations in Section 16, is capped at the total amount you paid for the Services.

18. Limitation of Liability

To the fullest extent permitted by law, Bridgegate is not liable for losses resulting from investments or reliance on platform data, financial losses, lost revenue, or data breaches. Our total liability is limited to the amount you paid for the Services.

19. Indemnification

You agree to indemnify, defend, and hold harmless Bridgegate, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your misuse of the platform or Services,
  • Your breach of these Terms,
  • Any inaccurate, incomplete, or misleading information provided by you, or
  • Any violation of applicable laws or the rights of third parties.
 

This indemnity obligation will survive the termination or expiration of these Terms and your use of the platform. 

Bridgegate reserves the right to terminate your access to the platform or Services, with or without notice, for violations of these Terms, misuse of the platform, failure to make payments, or other conduct deemed harmful to the platform, users, or Bridgegate’s reputation. Users may contact support@bridgegateinvest.com to dispute account termination within 14 days. Bridgegate reserves the right to review and make a final determination.

20. Governing Law

These Terms are governed by the laws of South Africa or other applicable jurisdictions. Disputes are subject to arbitration or the exclusive jurisdiction of the relevant courts. Any disputes arising out of or in connection with these Terms shall first be resolved through good faith negotiations between the parties. If a resolution cannot be reached within 30 days, the dispute shall be submitted to binding arbitration by the rules of the Arbitration Foundation of Southern Africa (AFSA). Arbitration shall take place in Cape Town, South Africa, in English. The decision of the arbitrator shall be final and binding on all parties. For users accessing the platform from outside South Africa, you agree that South African law governs these Terms. Any claims may be subject to the exclusive jurisdiction of South African courts, unless otherwise required by applicable law. Notwithstanding the foregoing, Bridgegate reserves the right to seek injunctive relief or address intellectual property claims directly through the courts in the relevant jurisdiction.

21. Modifications

We reserve the right to modify these Terms at any time. Changes will take effect immediately upon posting to the platform. Your continued use of the Services constitutes acceptance of the updated Terms.
